I recently wrote a post about negotiating with suppliers called ?The End of the Mexican Road.?

The post talked about how to find the lowest acceptable price & terms in a deal through testing.

In the post I made clear that I believe that all negotiations should seek to find fair deals where both parties can feel good about the outcomes. But that doesn?t mean always just saying ?let?s split the terms 50/50 down the middle.? Often that doesn?t make sense.

But what about when you?re negotiating with buyers and not suppliers?

This process is obviously very different as you will likely have much less leverage.

Most people claim to not want to deal with the hassles of negotiating. I think most of us feel this way, really. But it?s not a reality in business. While you may be able to offer a price & terms for your service and not ever negotiate (especially if you?re an Internet company that sells cheaply to small businesses over the web and without onsite support & service) ? you?ll still likely have to negotiate on business development deals. So please see this post through that lens ? at some point when you deal with larger companies: enterprise buyers, biz dev partners, VCs or one day acquiring companies ? you?ll like encounter these negotiation issues.

I could sum up my negotiation mentality as a seller in one phrase that I?ve used as short-hand for my portfolio companies for years, ?Everybody wants their pound of flesh.?

It?s short-hand for showing that despite our aversion to the process of negotiations ? as buyers we?re conditioned to it and even rewarded for it.

Here?s what a big company negotiation looks like:

1. Your Primary Buyer

You obviously start your process with a primary buyer. This is the person who is sponsoring a deal with your company. You need to know that unless you?re selling into a CEO this person has a cast of characters behind her that need to approve her decision ? even if she holds the budget.

And like it or not, one important way that she will be judged by others is her ability to commercially negotiate a deal with you. If she is seen to accept your initial offer on: Price, payment terms, service-level agreements, remedies for service problems, cancelation clauses, indemnities and all of the other terms of a standard agreement then she will be seen as weak.

So whatever terms you offer her, she will likely push back. She?s already built in an assumption that your first offer isn?t likely your best.

Yes, I know it would be much easier and frankly more pleasant to just be able to put in THE offer and say, ?I know that most sellers (or biz dev partners) negotiate. We hate playing games so we don?t negotiate. Our offer is our offer.?

Good luck with that.

I swear after all these years I?ve tried just about everything including trying to cut to the chase with the, ?no really, this is the deal we want to do? kind of offer.

People are genetically programmed to negotiate anyways.

And they have the incentives to show their colleagues and superiors that they got you to move from your original offer.

Everybody. Wants their pound of flesh. Everybody.

So as distasteful as it might be to you, you?ve got to build in a buffer into your negotiations. You?ve got to have some wiggle room on price and on terms. You?ve got to have both substantive points in which you?re willing to be flexible and also some ?throw away? points you really don?t care about but which will become part of your negotiation.

If you don?t, I assure you that you?ll cut into muscle or lose deals for seeming inflexible (rather than the honest, non-gaming-playing executive that you were hoping to be).

2. Your IT Reviewer

So your buyer put you through the ringer to show her independence. She got you to drop price and include more licenses for free. She got you to offer free storage and discounted training. She got you to remove your 6-month cancelation clause (heck, you never really expected 6-months cancelation, did you?).

But now your deal needs to pass through IT. This is the ?deal prevention? team in many big corporations. And not that I blame them. They?ve had years of business-unit managers buying software solutions they didn?t need and that eventually become shelfware. Or they have internal tools that they want you to use but you prefer the sexy tools offered on the market.

So IT will both chop your deal off at the knees and if they let you through they?ll extract their pound of flesh. They?ll push you on your uptime SLA, they?ll push for harsher penalties for non-compliance, they demand security reviews ? heck ? if you?re small enough they?ll push for ?source code deposits.? That can be brutal.

If you leave no room for IT negotiations you?ll take an unexpected haircut.

3. Procurement (or Biz Dev Team or M&A Department)

Up until now you?ve done fine. Your business unit buyer isn?t used to negotiating software and if you won over the IT team with your prowess then you?re feeling pretty good.

Now it?s time for the real leg breakers. If you?re selling to small businesses they may not have a procurement team. But all large companies do. And when they get involved all of your non-standard terms go away. You get people who don?t care at all about ?relationships? with you. All of your sales training techniques are useless to their procurement Teflon. Procurement departments are professionally aloof from sales processes.

I would have lines like, ?if GoToMeetings is willing to sell for price X, why should I pay more for you??

Me, ?well, let?s look at the business case for our software implementation. We believe we?ll be saving you more than $1 million per year for 5 years and this was prepared by your team.?

Their bullshit meters are too finely tuned for that type of negotiation.

?I don?t care about that. I don?t want to pay more for your product than I pay for similar products.?

That?s their job. No procurement professional gets ahead by saying, ?hey guys, I read their terms. This deal is actually pretty fair. Let?s just approve it.?

Everybody is judged and promoted based on their ability to extract their pound of flesh. In fact, if your primary buyer doesn?t champion you through procurement you?re pretty much screwed. You have to look for a buyer that knows that procurement will demand unreasonable terms and who wants to work with you badly enough that they?ll push procurement to be fair.

Still, procurement must be fed. They need some wins.

Biv Dev teams? Same. Born to negotiate and trade terms.

M&A? Do they want to tell the CEO that they bought you for your asking price? And no lock-in? No earn outs? No risk to you for non performance? Naw. M&A needs flesh.

4. And so on Down the Line

Your buyer?s boss. Have you ever met a boss who looks at an agreement and simply says, ?Yeah, I?m fine with that. Go ahead!? And just wait until the legal department weighs in. You?ll have all sorts of terms added that you?ve never even heard of. Remember that clause about your customer doing a big press announcement about the deal? Not so much. The marketing department will cut that off at the pass. And then, of course, there?s the CEO or SVP if your agreement is large enough or if it?s an M&A transaction. Even the big boss want?s her piece of flesh.

So What do Do About it?

By now it is a small miracle that you still have a deal on the table. If you started the process with your ?best & final offer? at this point your deal is probably upside down. As you get through the multiple stage-gates people will demand their toll ? whether you have something you feel you can offer or not.

So start with your final position at your own peril. I know your gut would tell you, ?Don?t play games! We all hate games!? we tell ourselves. Mine, too. But then there?s reality. The sooner you accept realpolitik the sooner you realize that the incentive structures of dealing with companies, organizations and political structures (not to mention human nature) requires you to play the game. It requires you to start with some fat in your deal.

? Have some room to compromise on pricing. I usually recommend that you even signal to your buyer that there is probably some room there. Why? You don?t want to be knocked out early because your prices are way out of the ballpark. Let them know there?s probably some flexibility. Actually, if you realize their internal incentives you are ironically doing them a favor by having some fat on price.
? Have some terms that you would love to win but aren?t wedded to. Perhaps it?s having your customer pay annually in advance when your goal is really monthly in advance. With your first buyer you might agree quarterly in advance. Somebody later will negotiate you down to monthly. And beyond that to monthly in arrears
? Have some room in the SLA for the IT department, some room on legal terms for the legal department

After all, if everybody wants their pound of flesh, you?re screwed if you start with only muscle.

I know it sucks. The people most averse to this message are often young, idealistic professionals who haven?t yet realized the world works this way. Or hackers who want an ideal world in which you build beautiful software and people just pay what?s fair.

But don?t hang the messenger. I?ve seen this enough first hand to know that ? the world just is the way it is. Organizations are not static. They?re filled with people, politics and incentives.

Refinancing your home

Some banks may offer a piggyback option but you might see a higher blended interest rate. Portfolio lenders, like TD Bank, can help minimize the down payment and interest rate. Portfolio lenders are able to do this because they don?t sell their loans to third-parties, resulting in more affordable, flexible home financing options for a borrower.

Qualifying for your loan

Qualifying for a jumbo mortgage does require stronger credentials, so be prepared for the process. Though the process can be more rigorous, some banks like TD Bank treat jumbo mortgages as they treat other mortgage products, guaranteeing a decision on the loan in less than 24 hours. A quick decision can help buyers close sooner or move faster when making an offer on the property they are looking to buy.

Overall, the residential mortgage landscape is experiencing gradual improvements, with housing prices stabilizing and even improving in some markets. If you?re looking for a larger space to accommodate your growing family, consider beginning your home buying process now. When looking into lenders, consider a portfolio lender, who can offer flexible terms and lending guidelines, to best fit your unique borrowing needs.

Give Yourself Permission to NOT Be Perfect: Now Get On With ...

Imperfectly done is better than perfectly started.

This is my mantra. As a recovering perfectionist, it?s easy to fall into the trap of striving for perfection and get stuck on square one. The trouble with the perfection trap is you never really get off of square one and you end up with a thousand different perfect starts.

Sometimes you just have to close your eyes and hit ?send? or ?publish? even if that little nagging feeling is screaming at you to double check it ONE MORE TIME! So what if there?s a typo or you forgot to mention an important fact and you have to follow-up with another email?

Really?SO WHAT?

Perfectionists, here?s a little newsflash for you: your 80 percent tops most peoples? 100 percent by FAR. What you consider lame, or just MEH, is extraordinary to other people. In fact, people feel just a bit intimidated by your always perfectness and would like a sign that you?re just a human being like them.

My challenge to you, dear readers, is to give yourself permission to not be perfect. Because on a sunny summer day when school is almost, if not already, back in, who cares? Who cares compared to the time you can spend with your family? Who cares compared to the stress you will alleviate by letting go? Seriously?who cares?

(Note: all brain surgeons and rocket scientists please ignore this advice. We really REALLY want you to aim for perfection. Everyone else: get over yourself and go have fun.)

Make a list of things that you wouldn?t trade for perfection, like sunset walks with your husband, or laughter-filled afternoons at the beach with your kids. If it helps remind you what is more important, post photos of those moments around your workspace.

Consider the worst case scenario if the imperfect happens. What will happen if you post a status update to Facebook and it has a typo in it? Chances are your friends will start a bit of a laugh thread and it will end in good fun. If it?s life threatening, go for perfect. If not, give yourself a break.

Think about what you are losing by getting stuck on perfection. Most often what you lose is time, but if you think about it, that time you lost is a lot more than just minutes. It?s time you could have spent generating new opportunities. So what you truly lost can never truly be measured because it?s the unknown.

And I repeat: Imperfectly done is better than perfectly started. Happy Monday!

Amateur cave explorers have found a new family of spiders in southern Oregon that scientists have dubbed Trogloraptor, or cave robber, for its fearsome front claws.

The spelunkers sent specimens to the California Academy of Sciences in San Francisco. Entomologists there say the spider ? the size of a half dollar ? evolved so distinctly that it requires its own taxonomic family ? the first new spider family from North America since 1870.

The species name, marchingtoni, honors Deschutes County sheriff's Deputy Neil Marchington, who led scientists to the cave outside Grants Pass.

Academy entomologist Charles Griswold says the spider spins a crude web, but scientists don't know yet what or how it eats.

The discovery is described in the online edition of the journal ZooKeys.

The world's top-ranked player won a record fifth Cincinnati title Sunday, dominating second-ranked Novak Djokovic in an unprecedented way at the start of a 6-0, 7-6 (7) win for the Western & Southern Open championship.

The 31-year-old Swiss star has enjoyed many of his one-week visits. None was better than the latest.

"Looking back, it's just unbelievable," Federer said. "This was probably the best week for me here in Cincinnati. I didn't lose a set. This is very sweet, no doubt about it."

Federer heads to the U.S. Open feeling healthy and fine-tuned. He skipped the Rogers Cup in Toronto last week, giving himself some time to recover from the Olympics in London.

He's also regained the upper hand against one of the players who stands in his way.

Djokovic had put together a run of three straight wins over Federer in tournament semifinals, starting with the U.S. Open last year. Federer turned it around by beating the Serb in the semis at Wimbledon last month.

They got together in a finals match for the seventh time in their careers Sunday. They'd split the previous six, with Federer winning the only Grand Slam championship match ? the U.S. Open in 2007.

Quickly, the latest one became a bit of personal history. They've never had such a lopsided day together on the court.

Ranked No. 1 and No. 2, perhaps, but worlds apart on this day.

Federer won the first set in only 20 minutes, allowing Djokovic just 10 points. It was the first time in their 28 career matches that one of them took a set 6-0. For perspective, Federer hadn't beaten anybody 6-0 in a tournament final since 2007.

Both players seemed a bit stunned.

"I was hoping for a good start, but not like that," Federer said.

Perhaps Djokovic's schedule had something to do with it. After the Olympics, he went right to Toronto and won the Rogers Cup last Sunday. He didn't expect to make it to a second final in eight days.

"It was a final today, so I really wanted to win," Djokovic said. "There is no question about it. Maybe playing couple weeks in a row, four weeks in a row, got to me maybe mentally. Physically it didn't. I felt OK on the court."

Both reached the final in a dominating style ? neither lost their serve or a set during the week.

Federer put an end to that right away.

Helped by a double-fault, Federer broke Djokovic's serve to start the match. Then, aided by two more double-faults, he broke him again to go up 3-0. Djokovic went to his chair at the break and grabbed a different racket, hoping to change the flow of the match.

Made no difference whatsoever. Federer served back-to-back aces that Djokovic couldn't touch with that new racket.

It was domination all around ? Djokovic had 10 unforced errors in the opening set, the same number of points he won. The Serb had four double-faults, each one setting up a break point or ending a game.

The fans gave Djokovic a loud ovation when he held serve to open the second set. The Serb looked up at the crowd and smiled while sipping water.

Djokovic showed more energy in the second set but never put much pressure on Federer, who didn't face a break point. After a forehand sailed way long, Djokovic raised his arms, reared back and screamed. Now fully engaged in the match, he took the set to a tiebreaker.

Djokovic survived one match point and got one point away from taking the tiebreaker. Federer ran off the last three points, closing it out with a forehand.

"At the end, I just snatched it," Federer said.

Federer improved to 5-0 in Cincinnati finals and tied Rafael Nadal for the most Masters titles with 21. Nadal dropped out of the tournament with a sore knee that has sidelined him indefinitely.

The loss snapped Djokovic's streak of 15 straight wins on hard courts, an encouraging sign heading into the Open. He figured the only thing lacking for New York was a little rest.

"I feel good on the court," Djokovic said. "The conditions here are quite different from the U.S. Open. It's a bit slower there, which I think goes in my favor a little bit more. More suitable to my style of the game.

"I'm going to have a week that I think is very necessary for me right now mentally and physically."

Toward a portable emergency treatment for stopping life-threatening internal bleeding

Progress toward a new emergency treatment for internal bleeding ? counterpart to the tourniquets, pressure bandages and Quick Clot products that keep people from bleeding to death from external wounds ? was reported in Philadelphia on August 20 at the 244th National Meeting & Exposition of the American Chemical Society.

Erin Lavik, Sc.D., who described the advance toward developing synthetic platelets, said it is among the efforts underway world-wide to treat bleeding from "blunt-force" injuries ? in car accidents like the crash that killed Princess Diana, for instance, and the battlefield blast waves from bombs and other weapons that are the leading cause of battlefield deaths. Sports injuries, falls and other problems likewise can cause internal bleeding.

"Emergency treatments for stopping the flow of blood from cuts and other external injuries save thousands of lives each year," Lavik pointed out. "But we have nothing that emergency responders or military medics can use to stop internal bleeding permanently or at least long enough to get a patient to a hospital. There's a tremendous need in the military, where almost 80 percent of battlefield traumas are blast injuries. In civilian life, there are many accidents, violence-related injuries and other incidents that result in internal bleeding."

Lavik's team, which is at Case Western Reserve University, was inspired by studies showing there are few options to treat soldiers in Afghanistan and Iraq who suffer internal injuries from the roadside bombs known as improvised explosive devices and other blasts. They wanted to develop a treatment military medics could use in the field to stabilize wounded soldiers en route to definitive care in a hospital.

"The military has been phenomenal at developing technology to halt bleeding, but the technology has been effective only on external or compressible injuries," Lavik said. "An emergency treatment for internal bleeding could provide a broader ability to stop life-threatening hemorrhage."

Currently, no effective treatments exist that are portable and can stop internal bleeding at the scene, Lavik explained. At the hospital, however, patients typically undergo surgery and receive donated platelets or something called factor VIIa, which helps with clotting, but both can cause immune problems. Factor VIIa also can potentially cause blood clots elsewhere in the body, not just at the site of bleeding, increasing stroke risk. Other alternatives have been developed in the laboratory, but they've had similar side effects and are not currently used in hospitals.

Lavik and colleagues are developing synthetic platelets. These are artificial versions of the disc-shaped particles in blood that collect on the jagged edges of cut blood vessels and launch the chain of biochemical events that result in formation of a clot that stops the flow of blood. The synthetic platelets are special nanoparticles, so small that 10 would fit across the width of a single human hair. Their role is to stick to natural platelets and leverage quicker and more efficient clotting at the site of an internal wound.

The nanoparticles are spheres that are made of the same polyester material used in dissolvable sutures, and they disappear from the body after doing their work. The particles have an outer coating of polyethylene glycol (PEG), the same thick, sticky substance used as a thickening agent in skin creams, toothpastes and other consumer products. Researchers then attach a peptide, or small piece of protein, that sticks to platelets. The end product is a white powder that has a shelf-life without refrigeration of at least two weeks -- almost twice as long as the donated natural platelets now administered to control bleeding. Unlike donated platelets or factor VIIa, the synthetic platelets do not require refrigeration.

In tests on laboratory rats, stand-ins for humans in such experiments, the artificial platelets worked better than factor VIIa in stopping internal bleeding and increased survival, explained Lavik. Emergency medical technicians or battlefield medics could carry the powder out into the field to treat patients immediately, which could mean the difference between life and death, Lavik noted.

Lavik explained that the development process is ongoing, and it will take several years for the treatment to reach first-responders. So far, the nanoparticles appear safe, and all of the materials used to make them are already approved for medical use.

Did Todd Akin just cost GOP a US Senate takeover?

With the uproar over his comment on 'legitimate rape,' Missouri Rep. Todd Akin has likely hurt his chances at beating Sen. Claire McCaskill (D) in November. Control of the Senate hangs in the balance ? and Akin is resisting calls to exit the race.

Amid the uproar over Rep. Todd Akin?s comment on ?legitimate rape,? one question has risen to the top: Did the Missouri Senate candidate just take his party one step away from taking over the US Senate?

Congressman Akin is now damaged in his quest to beat the most vulnerable Democrat in the Senate, Claire McCaskill, and his party knows it. Several Republican senators have called on him to drop out of the race. The senator in charge of the GOP?s Senate election effort, John Cornyn of Texas, said in a statement that Akin should take 24 hours and ?carefully consider what is best for him, his family, the Republican Party, and the values that he cares about and has fought for throughout his career in public service."

The Cornyn statement suggested that Akin should quit the race, and raised doubts over whether the National Republican Senatorial Committee will invest money in the race if he remains a candidate.

In a radio interview Monday afternoon, Akin dug in his heels.

?To quote my friend John Paul Jones, I?ve not yet begun to fight,? Akin said on Mike Huckabee?s radio show.?

Akin is reportedly being encouraged to stay in the race by his wife, who is a close adviser, and his son, who is running his Senate campaign.

Akin has also received statements of support from two prominent anti-abortion leaders ? Tony Perkins, head of the Family Research Council, and Marjorie Dannenfelser, head of the Susan B. Anthony List. This opposing view raises the specter of a division among Republicans on the eve of their convention over the place of the abortion issue in the campaign. Many Republican leaders want to keep the campaign focused on the economy, President Obama?s weak spot, and away from divisive social issues.

The furor over Akin began on Sunday, when he asserted in a TV interview that pregnancy from rape is ?really rare.? He was explaining his opposition to abortion with no exceptions.
